01Acceptance of Terms
By accessing or using the Delvet platform, website, or any associated services (collectively, the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, do not use the Service.
These Terms constitute a binding agreement between you (or the organisation you represent) and Delvet Ltd, a company registered in England and Wales.
By accessing the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
02Description of Service
Delvet provides a software platform that enables fashion and apparel brands to create, manage, and publish EU Digital Product Passports (DPPs) in compliance with the EU Ecodesign for Sustainable Products Regulation (ESPR) and related regulations.
The Service includes tools for supply chain data ingestion, compliance scoring, passport generation, and publication. Specific features are subject to the subscription plan selected by the user.
Delvet reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
03User Obligations
You agree to:
- Provide accurate, complete, and current information when registering and using the Service.
- Maintain the security and confidentiality of your account credentials.
- Use the Service only for lawful purposes and in compliance with applicable law, including EU and UK data protection regulations.
- Not upload or transmit any data that infringes third-party rights, contains malware, or violates applicable law.
- Not attempt to reverse-engineer, decompile, or otherwise derive the source code of the Service.
- Not use the Service to build a competing product or service.
You are responsible for all activity that occurs under your account.
04Intellectual Property
The Service and all content, features, and functionality — including software, text, graphics, logos, and data models — are owned by Delvet Ltd or its licensors and are protected by intellectual property law.
These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the Service for its intended purpose. No ownership rights are transferred.
You retain ownership of the data and content you upload to the Service (“Customer Data”). By uploading Customer Data, you grant Delvet a limited licence to process it solely to provide the Service.
Delvet may use aggregated, anonymised data derived from your use of the Service to improve the platform, provided such data cannot be used to identify you or your organisation.
05Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
As a data processor under GDPR, Delvet processes personal data contained in Customer Data only on your documented instructions. A Data Processing Agreement (DPA) is available on request and forms part of the contract between Delvet and enterprise subscribers.
06Disclaimers and Limitation of Liability
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Delvet does not warrant that the Service will be uninterrupted, error-free, or that it will meet any specific regulatory requirements applicable to your organisation. EU DPP compliance ultimately remains your responsibility.
To the maximum extent permitted by law, Delvet's total liability to you for any claim arising from these Terms or the Service will not exceed the fees paid by you in the twelve months preceding the claim.
Delvet is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.
07Termination
Either party may terminate these Terms at any time. You may stop using the Service and close your account at any time. Delvet may suspend or terminate your access if you breach these Terms, upon notice where reasonably practicable.
Upon termination, your right to access the Service ceases immediately. Delvet will retain Customer Data for 30 days after termination, after which it will be deleted, unless a longer retention period is required by law.
Provisions that by their nature should survive termination — including intellectual property rights, disclaimers, and limitation of liability — will survive.
08Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer in the EU, you may also have rights under the mandatory consumer protection laws of your country of residence.
09Changes to Terms
Delvet may update these Terms from time to time. Material changes will be communicated by email (to registered users) or by a prominent notice in the Service, with at least 14 days' notice before the changes take effect.
Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
